Please read these terms carefully before using RealEasy

1. ACCEPTANCE OF TERMS

By accessing or using the RealEasy platform, website, mobile applications, and services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and RealEasy Technologies Inc. ("RealEasy," "we," "us," or "our"), an Alberta corporation providing technology services.

2. PLATFORM DESCRIPTION AND NATURE OF SERVICES

2.1 Technology Platform Only

RealEasy is exclusively a technology platform that provides digital tools, software, and infrastructure for direct peer-to-peer real estate transactions. WE ARE NOT A REAL ESTATE BROKERAGE, AGENCY, OR ADVISORY SERVICE.

2.2 What We Provide

The Platform provides:

  • Digital document generation tools and templates
  • Communication infrastructure between buyers and sellers
  • Market data aggregation and display
  • Transaction workflow management software
  • Electronic signature integration
  • Payment processing for platform fees
  • Cloud-based document storage
  • Automated notification systems

2.3 What We Do NOT Provide

RealEasy explicitly does NOT:

  • Act as a real estate agent, broker, or representative
  • Provide real estate advice or recommendations
  • Negotiate on behalf of any party
  • Make pricing recommendations or valuations
  • Guarantee any transaction outcomes
  • Hold or manage trust funds or deposits
  • Provide legal, financial, or tax advice
  • Act in a fiduciary capacity for any user

3. USER ELIGIBILITY AND REGISTRATION

3.1 Eligibility Requirements

You must be at least 18 years of age and have the legal capacity to enter into contracts. By using the Platform, you represent and warrant that you meet these eligibility requirements.

3.2 Account Registration

Users must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Identity Verification

Users may be required to complete identity verification through Persona, our identity verification provider. Failure to complete verification may limit Platform functionality.

4. PLATFORM FEES

4.1 Fee Structure

Our fees consist of:

  • Listing Fee: $299 CAD (non-refundable upon property approval)
  • Platform Technology Fee: 2% of the final sale price, charged only upon successful closing

4.2 Nature of Platform Fee

The 2% platform fee is compensation for technology services, including:

  • Access to proprietary transaction management software
  • Automated document generation systems
  • Cloud infrastructure and data storage
  • Communication and coordination tools
  • Platform development and maintenance
  • Technical support services

This fee is NOT commission for real estate services, as we do not provide real estate brokerage services as defined under applicable law.

4.3 Payment Terms

All fees are in Canadian dollars unless otherwise specified. The listing fee is due upon submission. The platform fee is due at closing and may be collected through the closing process or charged to your payment method on file.

4.4 Refund Policy

The $299 listing fee is non-refundable once your property has been approved and published. The 2% platform fee is only charged upon successful closing. If a transaction does not close, no platform fee is charged.

5. USER RESPONSIBILITIES AND PROHIBITED USES

5.1 User Responsibilities

Users are solely responsible for:

  • All decisions regarding pricing, terms, and conditions
  • Verifying all information and conducting due diligence
  • Compliance with all applicable laws and regulations
  • The accuracy of all information provided
  • Obtaining appropriate professional advice (legal, financial, tax)
  • Understanding and fulfilling all contractual obligations

5.2 Property Listing Requirements

Users listing properties must:

  • Be the legal owner or authorized representative
  • Provide accurate and complete information
  • Not be listing the property for commission or on behalf of others (unless specifically authorized)
  • Comply with all applicable real estate laws and regulations

5.3 Prohibited Activities

Users shall NOT:

  • Use the Platform for any illegal purpose
  • Post false, misleading, or fraudulent information
  • Impersonate any person or entity
  • Circumvent Platform fees
  • Scrape, mine, or harvest data from the Platform
  • Interfere with Platform operations
  • Use the Platform for commercial real estate brokerage
  • Represent others in real estate transactions for compensation

6. INTELLECTUAL PROPERTY

6.1 Platform Ownership

All Platform content, features, functionality, software, and technology are owned by RealEasy and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

6.3 User Content

By submitting content to the Platform, you grant RealEasy a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for Platform operations and marketing purposes.

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

7.1 No Professional Services Disclaimer

IMPORTANT: REALEASY DOES NOT PROVIDE REAL ESTATE, LEGAL, FINANCIAL, OR TAX ADVICE. THE PLATFORM IS NOT A SUBSTITUTE FOR PROFESSIONAL REPRESENTATION OR ADVICE. USERS ARE STRONGLY ENCOURAGED TO CONSULT WITH QUALIFIED PROFESSIONALS.

7.2 Platform Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.3 Document Templates Disclaimer

All document templates are provided for informational purposes only. RealEasy does not warrant that templates are suitable for your specific situation or compliant with current law. Users must have all documents reviewed by qualified legal counsel.

7.4 Market Data Disclaimer

Market data, comparables, and statistics are provided for informational purposes only and should not be relied upon as appraisals, valuations, or pricing advice. Data accuracy is not guaranteed.

7.5 Transaction Outcome Disclaimer

RealEasy does not guarantee any transaction will be completed, that properties will sell, or that any particular outcome will be achieved. Success depends entirely on market conditions and user actions.

7.6 Limitation of Liability

IN NO EVENT SHALL REALEASY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU TO REALEASY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless RealEasy and its affiliates, officers, directors, employees, agents, and partners from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys' fees) arising from:

  • Your use of and access to the Platform
  • Your violation of these Terms
  • Your violation of any third-party right
  • Any real estate transaction you enter into
  • Any content you submit to the Platform
  • Your failure to obtain appropriate professional advice

9. DISPUTE RESOLUTION

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

9.2 Arbitration Agreement

Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the Arbitration Act (Alberta). The arbitration shall be conducted in Calgary, Alberta, before a single arbitrator.

9.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10. REGULATORY COMPLIANCE

10.1 No Brokerage Services

RealEasy is not licensed as a real estate brokerage under the Real Estate Act of Alberta or any other jurisdiction. We do not engage in activities requiring such licensure.

10.2 User Compliance

Users are responsible for ensuring their use of the Platform complies with all applicable laws, including real estate, tax, and consumer protection laws.

10.3 Anti-Money Laundering

Users agree to comply with all applicable anti-money laundering laws and regulations. We reserve the right to report suspicious activities to appropriate authorities.

11. PRIVACY AND DATA PROTECTION

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.

12. THIRD-PARTY SERVICES

12.1 Integration Services

The Platform integrates with third-party services including but not limited to:

  • Payment processors (Stripe)
  • Identity verification providers (Persona)
  • Electronic signature platforms (DocuSign)
  • Cloud hosting and infrastructure (Render)

12.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and conditions. RealEasy is not responsible for third-party services, content, or practices.

13. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notification. Continued use after changes constitutes acceptance of modified Terms.

14. TERMINATION

14.1 Termination by RealEasy

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

14.2 Effect of Termination

Upon termination, your right to use the Platform will cease immediately. Provisions that by their nature should survive termination shall survive.

15. MISCELLANEOUS

15.1 Entire Agreement

These Terms constitute the entire agreement between you and RealEasy regarding the Platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent.

15.5 Force Majeure

RealEasy shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

16. SPECIFIC WARNINGS AND ACKNOWLEDGMENTS

BY USING THE PLATFORM, YOU ACKNOWLEDGE AND AGREE THAT:

  • Real estate transactions involve significant financial and legal risks
  • You are not represented by RealEasy in any capacity
  • You should obtain independent professional advice
  • Digital signatures are legally binding
  • There is no cooling-off period for real estate purchases in Alberta
  • You are solely responsible for all decisions and outcomes
